Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Iluy AI, located at 24123 Greenfield Rd., Suite #204, Southfield, MI 48075, United States (“Iluy,” “we,” “us,” or “our”), governing your access to and use of the Iluy website, web application, and messaging channels (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization, and “you” includes that organization.

You must be old enough to form a binding contract under the laws that apply to you, or use the Service under the supervision and consent of a parent, guardian, or administrator who agrees to these Terms on your behalf and is responsible for your use.

• You are responsible for the information you provide, for keeping your account credentials secure, and for all activity that occurs under your account.
• Where an account is set up by a parent, guardian, school, or organization for another person, the account holder is responsible for the standards configured and the use of that account.
• Notify us promptly at support@iluy.ai of any unauthorized use of your account.

Iluy is an AI assistant built around content filtering. You configure the standards you want, and the Service screens responses to respect them across the web app, SMS, and WhatsApp. We may add, change, or remove features, models, or channels over time. Content filtering is designed to enforce the standards you set, but no automated filtering is perfect; you acknowledge that filtering may occasionally allow content you would have preferred to block or block content you would have preferred to allow.

Some features require a paid subscription (for example, the PLUS, PRO, or TEAM plans). Paid plans are billed through our payment processor, Stripe, on a recurring basis (for example monthly or annually) until cancelled.

• Subscriptions renew automatically at the end of each billing period unless you cancel before renewal.
• You can cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
• Fees are charged in advance and, except where required by law, are non-refundable. Prices may change with advance notice, and changes apply to the next billing period.
• You are responsible for any taxes associated with your subscription, except for taxes based on our income.
• Free plans and any trials are offered as-is and may be modified or discontinued at any time.

You agree not to use the Service to:

• Violate any law or regulation, or infringe the rights of others, including intellectual property and privacy rights.
• Generate, distribute, or solicit content that is unlawful, including content that sexually exploits or endangers minors.
• Harass, threaten, defame, or harm others, or generate hateful or violent content directed at people or groups.
• Attempt to circumvent, disable, or defeat content filtering, safety systems, usage limits, or access controls — including the standards configured by an account administrator.
• Probe, scan, or test the vulnerability of the Service, or breach security or authentication measures without authorization.
• Interfere with or disrupt the Service, introduce malware, or place unreasonable load on our infrastructure.
• Reverse engineer, scrape, or use automated means to access the Service except as expressly permitted.
• Resell, sublicense, or use the Service to build a competing product, or misrepresent your affiliation with Iluy.

We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for Iluy or others.

You retain ownership of the content you submit to the Service, such as your prompts, messages, files, and documents (“Input”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display your Input, and to send it to third-party AI providers, solely to operate and improve the Service and provide it to you and your authorized users.

You are responsible for your Input and for ensuring you have the rights to submit it. Do not submit content you are not permitted to share.

The Service produces responses using third-party AI models (“Output”). As between you and Iluy, you may use Output subject to these Terms and the applicable AI providers’ terms. Because of the nature of machine learning, Output may be inaccurate, incomplete, offensive, or otherwise inappropriate, and similar Output may be generated for other users.

Output is not professional advice. Do not rely on Output as a substitute for professional judgment in legal, medical, financial, or other specialized matters, and independently verify important information before relying on it.

The Service relies on and integrates with third-party services (including AI model providers, authentication, payment, messaging, and storage providers) and may let you connect optional integrations. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. SMS and WhatsApp messaging is subject to the terms and message/data rates of your carrier and the relevant platform.

The Service, including its software, design, and trademarks, is owned by Iluy and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, and we may delete your content in the ordinary course, subject to our Privacy Policy and applicable law. Sections that by their nature should survive termination will survive.

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT FILTERING WILL BE COMPLETE OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ILUY AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Iluy and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Input, your use of the Service, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-laws principles. You and Iluy agree that the state and federal courts located in Oakland County, Michigan have exclusive jurisdiction over any dispute that is not otherwise subject to an agreed dispute-resolution process, except that either party may seek injunctive relief to protect its intellectual property or confidential information in any court of competent jurisdiction.

We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect means you accept the updated Terms.
